IMPORTANT — PLEASE READ CAREFULLY

These Terms of Service constitute a legally binding agreement between you and MusEdLab.ai LLC. By accessing or using the MusEdLab platform, you agree to be bound by these terms. If you do not agree, do not use the platform.

These Terms include a limitation of liability clause (Section 12) and a DMCA policy (Section 8). They also describe how usage data may be used for research purposes with your consent (Section 10).

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the MusEdLab platform, including all tools, features, content, and services made available at musedlab.ai and any associated subdomains (collectively, the "Platform"), operated by MusEdLab.ai LLC, a Texas limited liability company ("MusEdLab," "we," "us," or "our").

By creating an account, accessing the Platform, or using any MusEdLab tool or service, you ("User" or "you") agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Platform on behalf of a school, district, or other educational institution, you represent that you have authority to bind that institution to these Terms.

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or in-platform notification. Continued use of the Platform after such notification constitutes acceptance of the modified Terms. The most current version will always be available at musedlab.ai/terms.

2. Description of the Platform

MusEdLab is an AI-powered music education platform designed for K-12 music educators. The Platform provides tools to assist teachers with music education planning, preparation, and instruction. Tools currently available or forthcoming on the Platform include:

2.1 Currently Available Tools

  • Rehearsal Prep — AI-assisted rehearsal planning based on uploaded or referenced repertoire
  • Lesson Prep — Lesson plan generation aligned to music education standards
  • Warm-Up Creator — Customized vocal and instrumental warm-up sequence generation
  • Repertoire Finder — AI-assisted repertoire recommendation for ensembles and solo performers
  • Practice Guide — Student-facing practice guidance generated from repertoire and skill level
  • Concert Program Builder — Concert program content and formatting assistance
  • Dynamic Map — Visual and textual dynamic analysis and mapping for choral and instrumental scores
  • Tempo Map — Tempo structure analysis and planning for rehearsal and performance preparation
  • Note Catcher — Interactive music literacy game for note identification
  • Staff Climber — Interactive music literacy game for staff and pitch reading

2.2 Upcoming Tools

  • Sight Reading Generator — Customized sight-reading exercise creation
  • Audition Creator — Audition material and rubric generation

MusEdLab reserves the right to modify, add, suspend, or discontinue any tool or feature at any time with or without notice. We will make reasonable efforts to notify subscribers of material changes to available tools.

3. Accounts and Registration

3.1 Account Creation

To access the Platform, you must create an account using a valid email address and password, or through a supported third-party authentication provider (such as Google). You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@musedlab.ai if you suspect any unauthorized use of your account. MusEdLab is not liable for any loss or damage arising from your failure to maintain account security.

3.3 Eligibility

The Platform is intended for use by adults (18 years of age or older). By creating an account, you represent that you are at least 18 years old. The Platform is designed for use by music educators and is not intended for direct use by minors. Teachers are responsible for ensuring that any student-facing content generated by the Platform is age-appropriate and used in accordance with applicable school policies.

3.4 One Account Per User

Each user may maintain only one active account. Accounts are non-transferable. You may not share your account credentials with others or allow others to access the Platform through your account.

4. Subscription, Fees, and Payment

4.1 Subscription Plans

Access to the full Platform requires a paid subscription. MusEdLab currently offers the following access tiers:

  • Free Tier: Limited access to select Platform features as designated on the Platform at MusEdLab's sole discretion.
  • Paid Subscription: Full access to all available Platform tools for a monthly subscription fee of $8.00 USD per month (or such other fee as may be posted on the Platform from time to time).

4.2 Billing and Payment

Subscription fees are billed in advance on a monthly basis through our payment processor, Stripe. By subscribing, you authorize MusEdLab to charge your designated payment method on a recurring monthly basis until you cancel. All fees are stated in U.S. dollars and are exclusive of any applicable taxes, which are your responsibility.

4.3 No Refunds

All subscription fees are non-refundable. MusEdLab does not provide refunds or credits for any partial subscription periods, unused features, or periods during which you did not access the Platform. This no-refund policy applies regardless of the reason for non-use.

4.4 Cancellation and End of Term Access

You may cancel your subscription at any time through your account settings or by contacting us at legal@musedlab.ai. Upon cancellation, your subscription will not renew at the end of the current billing period. You will retain full access to the Platform until the last day of your then-current paid billing period. After that date, your account will revert to the Free Tier or be deactivated, as applicable.

4.5 Price Changes

MusEdLab reserves the right to change subscription pricing at any time. We will provide at least 30 days' advance notice of any price increase to existing subscribers via email. Your continued use of the Platform after the effective date of a price change constitutes your acceptance of the new pricing.

4.6 Failed Payments

If a payment fails, we will attempt to notify you and retry the charge. If payment is not resolved within 7 days of the failed attempt, your account may be downgraded to the Free Tier or suspended until payment is made current.

5. Acceptable Use

5.1 Permitted Use

You may use the Platform solely for lawful music education purposes in accordance with these Terms. You agree to use the Platform in a manner consistent with professional standards applicable to K-12 music educators.

5.2 Prohibited Conduct

You agree not to:

  • Use the Platform for any purpose that is unlawful, harmful, or violates any applicable law or regulation
  • Upload, submit, or transmit any content that infringes, misappropriates, or violates any third-party intellectual property rights, including copyrighted sheet music or musical compositions, unless you have lawful rights to do so
  • Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Platform or any underlying AI models
  • Use automated tools, bots, scrapers, or other means to access the Platform at a rate exceeding normal human usage or to extract data from the Platform in bulk
  • Resell, sublicense, or otherwise commercialize access to the Platform or Platform outputs without written permission from MusEdLab
  • Share your account credentials or allow third parties to access the Platform through your account
  • Attempt to circumvent any access controls, usage limits, or security features of the Platform
  • Use the Platform in any way that could damage, disable, overburden, or impair our systems or interfere with other users' access
  • Submit false or misleading information to the Platform or use the Platform to create content intended to deceive others
  • Use the Platform to generate content for any commercial purpose other than your own direct music education practice without MusEdLab's written consent

5.3 User Responsibility for Uploaded Content

By uploading any file, score, image, or other content to the Platform ("User Content"), you represent and warrant that: (a) you own or have lawful rights to use such content; (b) your upload and use of such content does not violate any applicable law or any third party's intellectual property rights; and (c) you have any required permissions, licenses, or consents necessary for MusEdLab to process such content on your behalf. MusEdLab does not review User Content for copyright compliance and is not responsible for any infringement arising from your uploads.

6. Intellectual Property

6.1 MusEdLab Ownership

The Platform, including all software, algorithms, AI models, prompt architectures, interfaces, designs, graphics, text, and documentation, is owned by MusEdLab.ai LLC and is protected by U.S. and international copyright, trade secret, and other intellectual property laws. Nothing in these Terms transfers any ownership interest in the Platform to you.

6.2 License to Use the Platform

Subject to your compliance with these Terms and payment of applicable fees, MusEdLab grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial music education purposes. This license does not include the right to sublicense, distribute, publicly display, or create derivative works of the Platform or any Platform components.

6.3 Platform Outputs

Content generated by the Platform in response to your inputs ("Generated Content") is provided for your personal educational use. You may use Generated Content in your classroom, with your students, and in your professional practice as a music educator. You may not resell, commercially distribute, or represent Generated Content as your own original creative work without appropriate disclosure.

MusEdLab does not claim ownership of Generated Content, but retains the right to use anonymized, aggregated, or de-identified usage data and patterns derived from Platform interactions for the purposes described in Section 10.

6.4 Your Content

You retain all ownership rights in any original content you create and submit to the Platform. You grant MusEdLab a limited, non-exclusive, worldwide, royalty-free license to process, store temporarily, and use your submitted content solely to provide the Platform services to you. This license terminates when your content is deleted from our systems, which for uploaded scores occurs immediately after processing as described in Section 7.

6.5 Feedback

If you provide MusEdLab with feedback, suggestions, or ideas about the Platform, you grant us an irrevocable, perpetual, royalty-free license to use such feedback for any purpose without obligation to you.

7. Uploaded Scores and Copyright Compliance

How We Handle Uploaded Scores

Uploaded files are processed in memory and temporary storage only. No uploaded score is retained on our servers after processing is complete. We do not store, index, train on, or distribute the content of uploaded scores. MusicXML files derived from your uploads are also deleted immediately after your session.

7.1 Transient Processing

When you upload a score or image to the Platform, MusEdLab creates a temporary copy solely for the purpose of providing you with the requested service (such as score analysis, exercise generation, or notation processing). This temporary copy is deleted from our systems immediately upon completion of processing. MusEdLab does not retain, archive, or analyze the content of uploaded scores beyond the immediate processing transaction.

7.2 Your Copyright Responsibility

You are solely responsible for ensuring that any score, sheet music, image, or other copyrighted material you upload to the Platform is used in accordance with applicable copyright law. By uploading content to the Platform, you represent that you have lawful rights to use and process that content and that your use complies with all applicable licenses, permissions, and fair use or fair dealing provisions.

MusEdLab does not review uploaded content for copyright compliance and expressly disclaims any responsibility for infringement arising from User Content. If you are uncertain whether you have the right to upload a particular score, do not upload it.

7.3 Public Domain Recommendation

For research, benchmarking, or extended analytical use cases, we encourage use of public domain scores available from sources such as the International Music Score Library Project (IMSLP) or similar repositories where copyright status has been verified.

8. DMCA Policy and Copyright Infringement

8.1 DMCA Safe Harbor

MusEdLab complies with the Digital Millennium Copyright Act (17 U.S.C. § 512) and maintains a designated DMCA agent registered with the U.S. Copyright Office. We qualify for the safe harbor protections of Section 512 of the DMCA with respect to user-uploaded content.

8.2 Designated DMCA Agent

To report a claim of copyright infringement, please submit a written notice to our designated DMCA agent containing the following information:

  1. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
  2. Identification of the copyrighted work claimed to have been infringed
  3. Identification of the material claimed to be infringing, with sufficient information to allow MusEdLab to locate it
  4. Your contact information, including name, address, telephone number, and email address
  5. A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
  6. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf

8.3 Counter-Notification

If you believe your content was removed in error, you may submit a counter-notification to our DMCA agent including the information required under 17 U.S.C. § 512(g)(3). Upon receipt of a valid counter-notification, we will follow the procedures required by the DMCA.

8.4 Repeat Infringers

MusEdLab reserves the right to terminate the accounts of users who are found to be repeat infringers of copyright in accordance with our obligations under the DMCA.

9. Privacy and Data

9.1 Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, available at musedlab.ai/privacy, which is incorporated into these Terms by this reference. By using the Platform, you consent to the data practices described in our Privacy Policy.

9.2 Data We Collect

In connection with your use of the Platform, we may collect:

  • Account information (name, email address, authentication credentials)
  • Usage metadata (which tools you use, task types submitted, processing time, error rates, and OMR confidence scores)
  • Payment information (processed and stored by Stripe; MusEdLab does not store full payment card details)
  • Feedback and correction signals you voluntarily submit (such as thumbs up/down on Generated Content)
  • Communications you send to MusEdLab

9.3 Data We Do Not Retain

MusEdLab does not retain: (a) uploaded score files or images after processing; (b) MusicXML or other notation files derived from your uploads; (c) the content of scores processed through the Platform; or (d) any student personally identifiable information.

9.4 FERPA

MusEdLab is designed for use by educators, not directly by students. We do not knowingly collect education records as defined under the Family Educational Rights and Privacy Act (FERPA). Teachers are responsible for ensuring that their use of the Platform complies with FERPA and any applicable district or state student data privacy policies. MusEdLab operates in a manner designed to be consistent with FERPA requirements and applicable state education privacy laws, including Texas Education Code Chapter 32.

9.5 Third-Party Services

The Platform uses the following third-party services that may process your data: Anthropic (AI model provider), Stripe (payment processing), Supabase (authentication and database), and Google (authentication). Your use of these services is subject to their respective privacy policies.

10. Research Data Use and Consent

MusEdLab is committed to advancing the field of music education AI through responsible, transparent research. This section describes how we may use Platform data for research purposes.

10.1 Tier 1 — Service Improvement (All Users)

By using the Platform, you consent to MusEdLab collecting and using anonymized, aggregated usage metadata — including task types, tool usage patterns, processing times, and error rates — to improve the Platform, train internal evaluation systems, and monitor service quality. This data does not include the content of any uploaded score or any personally identifiable information.

10.2 Tier 2 — Research Consent (Opt-In Only)

You may separately choose to contribute to MusEdLab's music education AI research program. If you opt in through the Platform's research consent interface, you agree to allow MusEdLab to:

  • Retain anonymized processing outcomes (not score content) associated with your Platform sessions
  • Include your anonymized feedback signals (correction flags, task ratings) in research datasets
  • Use your anonymized data in academic publications, benchmark studies, and conference presentations
  • Share de-identified, aggregated findings derived from your data with research collaborators

Research consent is entirely voluntary and separate from your service agreement. You may withdraw research consent at any time through your account settings, and your data will be removed from research datasets within 30 days of withdrawal. Withdrawal of research consent does not affect your access to the Platform.

10.3 What Is Never Used for Research

Regardless of your consent status, the following data is never used for any research purpose: (a) uploaded score files or images; (b) derived MusicXML content; (c) any personally identifiable information; (d) any data that could be used to identify an individual user or their institution.

10.4 Publication

MusEdLab may publish research findings, benchmark results, and platform performance metrics derived from aggregated, de-identified data. Any such publication will comply with applicable research ethics standards and will not include data that could identify individual users or institutions.

11. Disclaimers and Platform Limitations

11.1 Educational Tool — Not a Substitute for Professional Judgment

The Platform is an AI-assisted educational tool designed to support music educators. All Generated Content, including lesson plans, exercises, score analyses, and recommendations, is provided as a starting point for your professional use. You are solely responsible for reviewing, validating, and adapting any Generated Content before using it with students. MusEdLab does not guarantee that Generated Content is pedagogically appropriate for any specific student, ensemble, grade level, or curriculum.

11.2 OMR Accuracy Limitations

The Platform's optical music recognition (OMR) functionality is designed for printed or typeset sheet music. Handwritten scores, non-standard notation, guitar tablature, and low-resolution images may not be processed accurately. MusEdLab makes no warranty regarding the accuracy of OMR processing and recommends that all OMR-generated content be reviewed before use with students.

11.3 No Warranty

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MUSEDLAB DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MUSEDLAB DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

IMPORTANT — LIMITATION OF LIABILITY

This section limits MusEdLab's legal liability. Please read it carefully.

12.1 Exclusion of Consequential Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MUSEDLAB.AI LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF MUSEDLAB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Cap on Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MUSEDLAB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO MUSEDLAB IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) FIFTY DOLLARS ($50.00).

12.3 Essential Basis

THE LIMITATIONS IN THIS SECTION REFLECT AN ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND MUSEDLAB. MUSEDLAB WOULD NOT PROVIDE THE PLATFORM WITHOUT THESE LIMITATIONS.

12.4 Exceptions

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you in full. In such jurisdictions, MusEdLab's liability is limited to the maximum extent permitted by applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless MusEdLab.ai LLC, its members, managers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third party's rights, including intellectual property rights; (d) any User Content you submit to the Platform; or (e) your violation of any applicable law or regulation.

14. Term and Termination

14.1 Term

These Terms are effective upon your first use of the Platform and remain in effect until terminated as described herein.

14.2 Termination by You

You may terminate your account at any time by canceling your subscription and ceasing use of the Platform. Termination does not entitle you to any refund of prepaid fees.

14.3 Termination by MusEdLab

MusEdLab may suspend or terminate your account and access to the Platform at any time, with or without notice, if: (a) you violate these Terms; (b) we are required to do so by law; (c) we discontinue the Platform; or (d) your continued use poses a risk to other users or the Platform.

14.4 Effect of Termination

Upon termination, your license to use the Platform immediately ends. Provisions of these Terms that by their nature should survive termination will survive, including Sections 6 (Intellectual Property), 8 (DMCA), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 15 (Governing Law), and 16 (Dispute Resolution).

15. Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in Bexar County, Texas, and you consent to the personal jurisdiction of such courts.

16. Dispute Resolution

16.1 Informal Resolution

Before filing any legal claim, you agree to first contact MusEdLab at legal@musedlab.ai and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.

16.2 Binding Arbitration

If the dispute is not resolved informally, you and MusEdLab agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in San Antonio, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.3 Class Action Waiver

YOU AND MUSEDLAB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16.4 Exceptions

Nothing in this Section prevents either party from seeking injunctive or other equitable relief in court for matters involving intellectual property rights or unauthorized access to the Platform.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MusEdLab with respect to the Platform and supersede all prior agreements, understandings, and negotiations.

17.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

17.3 Waiver

MusEdLab's failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision in the future.

17.4 Assignment

You may not assign your rights or obligations under these Terms without MusEdLab's prior written consent. MusEdLab may assign its rights and obligations under these Terms freely, including in connection with a merger, acquisition, or sale of assets.

17.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

17.6 Force Majeure

MusEdLab shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, government action, or failure of third-party services.

Acknowledgment

By creating an account or using the MusEdLab platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
